PART 1: INTRODUCTION AND DEFINITIONS

Snichein, a plant-based protein snack brand, with its registered office at Bhamashah Techno Hub, Jaipur, Rajasthan, 302017, India ("Snichein" or "we," "us," "our").

Users/Customers:

Any person, business entity, or legal entity accessing or using the Website www.snichein.com, purchasing products, or creating an account ("you," "your," or "User").

1.2 DEFINITIONS

• "Website" means www.snichein.com and all associated sub-domains, mobile applications, pages, and digital properties owned and operated by Snichein.
• "Service" means the provision of plant-based protein snack products and related e-commerce services through the Website.
• "Products" means all food products offered by Snichein, including but not limited to dark chocolate protein bars (13g protein per 50g bar with 100% natural ingredients), multi-pack options (3-bar and 6-bar packs), and planned variants (crunchy, chocolate-berry blast, dates-chocolate combinations).
• "Content" means all text, graphics, images, software, documents, designs, information, and other materials displayed on the Website.
• "Terms" or "Terms of Service" or "Terms and Conditions" means this entire legal agreement between Snichein and you.
• "Account" means the personal user account created by you on the Website for purchasing and accessing services.
• "Personal Data" means any information relating to an identified or identifiable natural person.
• "Payment Gateway" means third-party payment processing platforms including Razorpay, PhonePe, and other authorized payment service providers.
• "Shipping Partner" means Shiprocket or other authorized logistics partners used for product delivery.

1.3 ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and any other referenced documents, constitute the entire agreement between Snichein and you regarding the Website and Services. These Terms supersede and replace any prior or contemporaneous agreements, understandings, or communications between you and Snichein.

PART 2: ACCEPTANCE OF TERMS AND LEGAL BINDING

2.1 ACCEPTANCE MECHANISM

By performing any of the following actions, you acknowledge that you have read, understood, and agree to be legally bound by these Terms:

4.3 GUEST CHECKOUT

You may purchase Products without creating an account using the "Guest Checkout" option. When using Guest Checkout:

• You will be required to re-enter all information for each purchase
• You will not receive order tracking or account history access

• Abuse of the Platform or other Users
• Non-compliance with applicable laws

Upon termination:

• Pending orders may be cancelled
• You remain liable for all charges incurred prior to termination

FSSAI Compliance

All products comply with Food Safety and Standards Act, 2006, and FSSAI regulations. Our FSSAI License Number is displayed on all product pages and packaging. Customers can verify our compliance on the FSSAI website.

5.2 PRODUCT AVAILABILITY AND STOCK

• Products are subject to availability and stock limitations
• Snichein reserves the right to limit quantity purchases per customer
• In case of stock unavailability, orders may be cancelled with full refund
• Pre-order facilities may be offered at Snichein's discretion
• Stock levels shown on Website are approximate and updated in real-time

5.3 PRODUCT ACCURACY AND REPRESENTATION

Image and Color Disclaimer

We have made efforts to display product images and colors as accurately as possible. However, actual product appearance may vary slightly due to:

No Other Warranties

TO THE FULLEST EXTENT PERMITTED BY INDIAN LAW, SNICHEIN DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Implied warranty of merchantability
• Implied warranty of fitness for a particular purpose
• Warranty of title or non-infringement
• Any warranty regarding product taste, shelf-life, or nutritional content beyond stated specifications

Third-Party Lab Testing

Customers who question product quality or nutritional content may submit requests for third-party lab testing. Snichein will not cover testing costs unless the product is proven defective by independent certification.

5.5 SERVICE INTERRUPTIONS AND MAINTENANCE

The Website may be interrupted for:

• Scheduled maintenance and repairs
• System upgrades
• Network issues
• Equipment failures
• Security incidents

No Liability for Service Disruptions

Snichein is NOT LIABLE for any disruptions, outages, or inability to access the Website, including:

PART 6: PRICING, PAYMENT, AND BILLING

6.1 PRICING STRUCTURE

Cash on Delivery (COD)

• COD is available for most locations
• Full payment must be made upon delivery
• A verification SMS/WhatsApp/phone call will be sent before delivery

Payment Processing: All payments are processed securely through Razorpay and PhonePe payment gateways. Snichein does not store credit/debit card information on its servers.

6.3 PAYMENT TERMS AND CONDITIONS

Authorization

By providing payment information, you authorize Snichein and its payment processors to:

• Charge your card or payment method for the purchase amount
• Process refunds to the original payment method
• Retain payment information securely for future authorized transactions

Currency

• All transactions must be completed in Indian Rupees (INR)
• Snichein does not facilitate transactions in any other currency
• International transactions must convert to INR before processing

Transaction Limits

• Payment limits are determined by your bank/payment method provider
• Snichein is not responsible for transactions exceeding bank-imposed limits
• Your bank may decline transactions for security reasons

6.4 PAYMENT PROCESSING AND LIABILITY

Snichein's Non-Liability for Payment Issues

Snichein is NOT responsible for and does NOT assume liability for:

• Failed transactions due to insufficient funds
• Declined payments by your bank or payment provider
• Technical errors in payment processing by third-party gateways
• Incorrect account information you provide
• Bank processing delays
• Currency conversion errors
• Payment reversal or chargeback initiation

Fraudulent Activity

• If fraudulent activity is detected, orders may be cancelled and accounts suspended
• Law enforcement may be notified
• You are liable for all charges incurred through fraudulent use of your account

6.5 REFUND PROCESSING

Eligible refunds will be processed to the original payment method within:

• 5-7 business days for debit/credit cards
• 2-4 business days for UPI and digital wallets
• 5-10 business days for internet banking
• Bank processing times may extend refund credit by 2-5 additional business days

Note: Snichein has no control over bank processing timelines and is not liable for delays in refund credit to your account.

6.6 CASH ON DELIVERY (COD) SPECIFIC TERMS

COD Verification

• Orders placed via COD will be verified before dispatch
• Verification may include SMS, WhatsApp message, or phone call
• You agree to accept these verification communications

Payment Upon Delivery

• Full payment must be made to the delivery personnel
• You must accept and pay for the delivery; refusal of delivery is not permitted
• Non-payment upon delivery will result in account suspension and blacklisting

Non-Payment Consequences

If you refuse to pay for a COD delivery:

• Your account will be permanently blacklisted
• Future orders from your email/phone number will be rejected
• Legal action may be initiated to recover the order amount
• Additional collection fees may be charged

PART 7: ORDERS AND PURCHASE TERMS

• Delivery timelines are estimates; delays may occur due to unforeseen circumstances

Delivery Address

• You are responsible for providing a complete, accurate delivery address
• Snichein is not liable for non-delivery due to incorrect address
• Delivery is considered complete upon handing over the package to you

Risk of Loss

• Products remain at Snichein's risk until delivered to you
• Upon delivery, risk transfers to you
• You must inspect products upon delivery
• Claims for damage must be filed within 5 days of delivery

PART 8: RETURNS AND REFUNDS POLICY

8.3 RETURN PROCESS

• Bank credit time: 2-5 additional business days

8.5 PARTIAL REFUNDS

Snichein may issue partial refunds (20-50% deduction) if:

8.6 NO REFUND FOR CHANGE OF MIND

Refunds are NOT available if:

9.2 LICENSE GRANT TO USERS

Snichein grants you a limited, non-exclusive, non-transferable, revocable license to:

Maximum Liability Cap

Even if Snichein is found liable in any legal proceeding, Snichein's total liability shall NOT exceed the purchase price of the Products that generated the claim.

• Product storage and shelf-life
• Seller credentials and legitimacy
• Any claims or representations made

PART 14: DISPUTE RESOLUTION AND GOVERNING LAW

14.1 GOVERNING LAW

These Terms and all related matters are governed exclusively by the laws of:

• Indian Union (Republic of India)
• State of Rajasthan
• All applicable statutes and regulations of India

You and Snichein agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or Products shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Nothing in these Terms limits your rights under the Consumer Protection Act, 2019, including:

14.6 WAIVER OF JURY TRIAL AND CLASS ACTIONS

PART 15: INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Snichein and its parent and subsidiary companies, officers, directors, employees, agents, contractors, service providers, affiliates, successors and permitted assigns from any and all claims, losses, damages, liabilities, expenses, or causes of action arising from:

• Your violation of applicable law
• Your infringement of third-party intellectual property rights
• Your misuse of the Website or Products
• Your negligence or willful misconduct
• Any false statement or misrepresentation you make
• Your violation of another person's rights

This indemnity includes:

• Reasonable attorney's fees and legal costs
• Court costs and arbitration fees
• Damages awarded by court or arbitrator
• Settlement amounts agreed by both parties

PART 16: TERMINATION

16.1 TERMINATION BY YOU

Upon termination:

• Pending orders may be cancelled

16.2 TERMINATION BY SNICHEIN

Snichein may terminate these Terms and your access to the Website at any time with or without cause, with or without notice. Grounds for termination include:

• Fraudulent or illegal activity
• Repeated payment failures
• Abuse of Website or other users
• Non-compliance with applicable law
• At Snichein's sole discretion

16.3 EFFECTS OF TERMINATION

Upon termination:

• Your account and access are immediately disabled
• You forfeit all pending refunds or credits (unless legally entitled)
• Pending orders may be cancelled
• You remain liable for all charges incurred before termination

Neither party is liable for failure to perform due to causes beyond reasonable control, including:

• Pandemics
• War or terrorism
• Government actions
• Internet outages
• Strikes or labor unrest

Snichein will make reasonable efforts to resume operations after force majeure events.

23.4 COUNTERPARTS

These Terms may be executed in multiple counterparts, each constituting an original and all together constituting one agreement.
